Empire Diversified Energy Advances Commercial Growth Initiatives Across West Virginia Industrial Platform

Company is Open for Business and Focused on Revenue Growth, Strategic Development and Long-Term Shareholder Value

FOLLANSBEE, WEST VIRGINIA, August 26th 2026 — Empire Diversified Energy, Inc. (“EDE” or the “Company”) (OTC: MPIR) today reaffirmed its commitment to growing its West Virginia industrial and infrastructure platform and building long-term value for shareholders.

EDE and its operating businesses are fully operational and actively engaged in pursuing new customers, tenants, leases, strategic partnerships, and development opportunities. Management continues to focus on increasing commercial activity, expanding revenue-generating operations and maximizing the value of the Company’s strategically located industrial assets.

The Company is continuing discussions with prospective customers, tenants and strategic partners regarding opportunities throughout its West Virginia platform. EDE believes these efforts can strengthen the Company’s operating position, diversify its sources of revenue and support the continued development of its industrial and infrastructure assets.

EDE also confirmed that it has timely responded to the previously disclosed complaint filed by UMB Bank, N.A., solely in its capacity as trustee for certain bonds issued in connection with Empire Trimodal Terminal, LLC. The Company has denied the material allegations and relief sought in the complaint. No judgment has been entered against EDE, and the filing of the complaint has not resulted in any judicial determination affecting EDE’s ownership or operation of its businesses.

The matter will proceed through the ordinary judicial process. EDE intends to protect its rights while continuing to concentrate its resources and attention on operating and growing its businesses.

In parallel, the Company continues to engage constructively with relevant stakeholders regarding potential consensual solutions relating to the outstanding bond obligations. Management believes that constructive stakeholder engagement, combined with continued commercial execution, provides the best path toward preserving and maximizing the value of the EDE platform.
